Both will work within Mayer Brown’s Capital Markets practice in London, adding specialist knowledge in cross-border securities transactions and institutional private placements. The appointments represent more than a routine expansion of a legal team.

They underline the growing importance of private debt markets as companies, infrastructure developers and energy businesses search for alternative sources of long-term financing.

New Expertise Targets International Capital Raising

Ashton and Bates have built their practices around cross-border capital markets work, particularly transactions involving issuers and placement agents. Their experience covers both debt and equity offerings, although their strongest specialization lies in private placements involving non-US companies seeking access to American institutional investors and other major financial institutions.

That expertise could be particularly valuable as international borrowers increasingly look beyond traditional bank financing. Private placements allow companies to raise capital directly from institutional investors rather than relying exclusively on public bond markets or conventional lending facilities.

These transactions can offer flexibility in terms of structure, maturity and investor relationships. For Mayer Brown, adding lawyers with deep experience in this area provides an opportunity to strengthen its ability to advise clients navigating complex international funding arrangements.

The significance of the appointments is also reflected in Ashton and Bates’ previous transaction history. According to Mayer Brown, the two lawyers have represented issuers involved in approximately 30% of total cross-border US private placement debt issuance in recent years.

They have also participated in efforts to shape the documentation and frameworks used throughout the cross-border private placement market.

Jon Van Gorp, a Mayer Brown partner, said the addition of Ashton and Bates would further strengthen the firm’s position in debt capital markets and expressed confidence that their experience would benefit clients.

The London office will now have additional expertise in a niche area where international legal, regulatory and financing considerations often intersect. For clients, that could mean stronger support when structuring cross-border private placements, negotiating documentation and coordinating transactions involving US institutional investors.

A Broader Shift Toward Alternative Financing

The arrival of Ashton and Bates ultimately reflects a broader change in how companies approach capital raising. While public bonds and traditional bank loans remain important, institutional private debt has become another tool for businesses seeking customized financing.

Its relevance is particularly apparent in sectors requiring significant investment and longer-term capital. Mayer Brown’s latest hires position the firm to participate more deeply in that market.

With Ashton joining as partner and Bates as senior counsel, the firm gains professionals whose experience spans transactions, institutional investors and the documentation that underpins cross-border private placements.

As demand for flexible international financing continues to evolve, their arrival could help Mayer Brown capture a larger share of complex debt capital markets mandates from companies and financial institutions operating across borders.
