UniCredit Takeover Plan Puts Commerzbank Leadership and German Banking Strategy Under Pressure

The potential takeover of Commerzbank by UniCredit is entering a more consequential phase, with leadership becoming one of the biggest points of contention in negotiations between the Italian lender, Germany’s government and the German bank. UniCredit CEO Andrea Orcel is seeking major changes at the top of Commerzbank, according to people familiar with the matter.

The Italian bank wants Commerzbank CEO Bettina Orlopp and Supervisory Board Chairman Jens Weidmann to leave their positions if the takeover proceeds. The push signals that UniCredit is looking beyond ownership and preparing to reshape how its German target is governed.

Leadership Becomes a Central Takeover Issue

Orc​​el’s position suggests UniCredit wants greater influence over Commerzbank’s strategic direction rather than simply becoming its largest shareholder. Orlopp has been a prominent defender of Commerzbank’s independence and its standalone strategy. The bank has argued that its own long-term plan can generate greater value while avoiding the risks associated with a takeover. Weidmann has also played an important role in protecting Commerzbank’s interests.

In August, he called for changes to Germany’s takeover rules after criticizing the way UniCredit had been able to gain influence without offering shareholders what he considered an adequate premium. Replacing both figures would therefore represent a significant change in the balance of power.

UniCredit Also Challenges Berlin’s Influence

The leadership dispute is only one part of a wider governance battle. UniCredit also opposes the German government’s demand to retain two seats on Commerzbank’s supervisory board. Berlin owns a 13.3% stake in the bank, acquired during the 2009 financial crisis, giving the government an important position in determining Commerzbank’s future. The government has gradually shifted from outright resistance to focusing on conditions for any eventual transaction.

Finance Minister Lars Klingbeil recently told Orcel that Germany wants Commerzbank to remain publicly listed, keep its headquarters in Frankfurt and continue supporting the country’s medium-sized businesses. These requirements demonstrate that Berlin views the transaction as more than a conventional corporate takeover.

Commerzbank Wants to Preserve Its Strategic Identity

Commerzbank has maintained that its existing strategy remains viable. At its annual general meeting in May, the bank’s leadership said its “Momentum 2030” strategy offered shareholders an alternative path with lower implementation risk. The supervisory board also emphasized Commerzbank’s role in financing Germany’s Mittelstand, or medium-sized business sector. That positioning could make negotiations over a merger particularly complicated.

For UniCredit, integrating Commerzbank would potentially create a much larger European banking group with significant operations in two major eurozone economies. For Commerzbank, however, the challenge is ensuring that its German franchise, employees and corporate relationships remain protected.

A Larger European Banking Group on the Horizon

UniCredit has steadily increased its influence over Commerzbank and now controls nearly half of the German lender’s shares, according to Reuters. That position has weakened resistance to the takeover while increasing pressure on stakeholders to negotiate the terms of a possible combination. A completed transaction would create a banking group with more than €1.3 trillion in assets across Italy and Germany. The scale would make the deal one of Europe’s most significant banking combinations in years.

However, size alone does not guarantee a smooth integration. UniCredit would need to reconcile different corporate cultures, political expectations and strategic priorities. Germany’s government is particularly concerned about employment and maintaining Commerzbank’s identity, while UniCredit is likely to focus on efficiency and shareholder returns.

The Next Battle Will Be Governance

The disagreement over Orlopp and Weidmann highlights the broader question of who will determine Commerzbank’s future once UniCredit gains greater control. If negotiations fail to produce an agreement, UniCredit could seek an extraordinary shareholder meeting to install new representatives. That would escalate the confrontation and potentially accelerate changes to Commerzbank’s supervisory structure. For now, discussions between the two sides remain open. But the demand for new leadership indicates that UniCredit’s ambitions extend well beyond acquiring shares.

The eventual outcome will determine not only who runs Commerzbank, but also whether the German lender retains significant independence inside a larger European banking group. With ownership, political influence and management all being contested simultaneously, the leadership question could become the decisive stage of the entire takeover process.
